These terms govern the use of the Cédille and Co. LLC website and all design and development services provided by Cédille and Co. LLC.

Welcome to Cédille and Co. LLC ("Cédille and Co.," "we," "our," or "us"). These Terms & Conditions govern the use of our website and all design and development services provided by Cédille and Co. LLC. By engaging our services, you ("Client") agree to the following terms.

I. Services

Cédille and Co. LLC provides custom website design, front-end web development, website redesigns, website migrations, technical SEO implementation, branding services, website maintenance, and related consulting services.

The specific scope of work for each project will be outlined in an individual Service Agreement or Proposal. If any conflict exists between these Terms & Conditions and an executed Service Agreement, the Service Agreement shall govern.

II. Quotes & Project Scope

Every project is unique.

Project deliverables, pricing, estimated timelines, and included services will be detailed within each individual Service Agreement.

Any services requested outside the agreed scope may require a revised estimate or separate agreement.

III. Payments

Invoices are issued electronically and processed securely through Stripe.

Clients may select their preferred payment method from the options available within the invoice, including accepted credit cards, debit cards, ACH bank transfer, or other payment methods supported by Stripe.

Unless otherwise stated within the Service Agreement, invoices are due within thirty (30) calendar days of issuance.

Late or unpaid invoices may result in suspended work until payment has been received.

Failure to remit payment within the agreed terms may result in collection efforts, mediation, legal action, or any other remedies available under applicable law. The Client shall be responsible for reasonable costs incurred in recovering unpaid balances where permitted by law.

IV. Client Responsibilities

The Client agrees to provide all necessary information and materials required to complete the project in a timely manner.

Unless otherwise specified within the Service Agreement, the Client is responsible for providing:

  • Website copy and written content
  • Images, photography, logos, and graphics
  • Proper licensing or usage rights for all supplied materials
  • Timely approvals and feedback
  • Access credentials for existing websites, hosting providers, domains, analytics platforms, email providers, or any third-party services required to complete the project
  • Administrative access to any software necessary for website migrations or integrations

Delays in providing required materials or approvals may extend estimated project timelines.

V. Design Process & Revisions

Projects are completed through a collaborative design process.

Each project includes:

  • Two (2) rounds of revisions during the wireframe and design phase.
  • Two (2) rounds of revisions during the publishing and pre-launch phase.

Additional revision requests beyond the included revisions may incur additional fees at KSL Web Design's current hourly rate and may extend the anticipated project completion date.

Revisions include modifications to existing work and do not include substantial scope changes or new functionality.

VI. Project Timeline

Most projects are completed within approximately two (2) to four (4) weeks.

Estimated timelines are provided within each individual Service Agreement and are dependent upon:

  • Timely client communication
  • Content delivery
  • Approval turnaround
  • Third-party platform availability
  • Project complexity

Timeline estimates are not guarantees.

VII. Intellectual Property

Upon receipt of full payment, ownership of the completed website design and custom-developed assets created specifically for the Client transfers to the Client unless otherwise stated within the Service Agreement.

The Client retains ownership of all content, branding, trademarks, photography, and other materials supplied by the Client.

KSL Web Design retains ownership of any proprietary development methods, reusable code libraries, design processes, and internal workflows used during the project.

Unless otherwise requested in writing, KSL Web Design may include a discreet website credit within the footer of completed websites identifying Cédille and Co. LLC as the website designer and developer.

KSL Web Design also reserves the right to display completed projects within its portfolio, website, and marketing materials unless otherwise agreed upon in writing.

VIII. Third-Party Services

Projects may utilize trusted third-party platforms or services to provide specific functionality.

These may include, but are not limited to:

  • Formspree
  • BlogHandy
  • Google Analytics
  • Google Search Console
  • Stripe

Cédille and Co. LLC is not responsible for service interruptions, pricing changes, policy updates, security incidents, or functionality changes made by third-party providers.

IX. Website Maintenance

Website Stewardship plans are offered as optional monthly services.

Maintenance services generally include:

  • Security updates
  • Performance optimization
  • Technical monitoring
  • Minor content or functionality updates, as outlined in the selected maintenance plan

Website maintenance does not include:

  • New webpages
  • Website redesigns
  • New functionality
  • Major structural changes
  • Ongoing blog writing or blog management unless specifically included within a maintenance agreement

X. Accessibility

Cédille and Co. LLC is committed to building websites that follow modern accessibility best practices.

Unless otherwise stated, websites are designed with accessibility considerations in mind; however, KSL Web Design cannot guarantee ongoing compliance if third-party plugins, client modifications, or external content alter the website after launch.

XI. Warranties & Disclaimers

Cédille and Co. LLC warrants that services will be performed with reasonable care and professional skill.

However, we cannot guarantee:

  • Search engine rankings
  • Specific SEO performance
  • Website traffic
  • Sales or lead generation results
  • Compatibility with future browser updates or third-party software changes

All services are provided "as is" following project completion unless covered under an active maintenance agreement.

XII. Limitation of Liability

To the fullest extent permitted by law, KSL Web Design shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of the completed website or services provided.

Total liability shall not exceed the total amount paid by the Client for the applicable project.

XIII. Project Termination

Either party may terminate a project at any time by providing written notice.

Upon termination:

  • All completed work performed up to the termination date shall remain billable.
  • Design and development work will be invoiced at $50.00 per hour for all work completed prior to termination unless otherwise specified within the Service Agreement.
  • Outstanding invoices become immediately due upon receipt.

Upon receipt of payment, completed work produced to date will be provided to the Client where reasonably possible.

XIV. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

XV. Changes to These Terms

Cédille and Co. LLC reserves the right to update these Terms & Conditions at any time.

The most current version will always be available on this website. Continued use of our services constitutes acceptance of any revisions.
